North China Grid Company Limited (NCGC)
was wholly invested and established as a public-owned legal entity
by the State Grid Corporation on November 8th, 2003 in Beijing according
to the Company Law of the People's Republic of China. The Company
was originated from North China Power (Group) Corp. and Shandong
Power (Group) Corp., with a registered capital of RMB60 billion
yuan. By the end of October 2004, the total assets and net assets
reached RMB239.3 billion yuan and RMB86 billion yuan respectively.

NCGC consists of Beijing Electric Power Co. and
Tianjin Electric Power Co. as two municipal branches, Hebei Electric
Power Co., Shanxi Electric Power Co. and Shandong Power (Group)
Corp. as three provincial subsidiaries, Qinhuangdao Power Generation
Co., Ltd. and North China Electric Power Research Institute Co.,
Ltd. as two share-holding subsidiaries and other 23 directly-operated
subsidiaries including Tianjin Dagang Power Plant, Shisanling Pumped
Storage Power Plant and Panjiakou Pumped Storage Power Plant as
three power generators, Tangshan Power Supply Co., Qinhuangdao Electric
Power Co., Zhangjiakou Power Supply Co., Chengde Power Supply Co.,
Langfang Power Supply Co., Beijing EHV Power Transmission Co. and
Datong EHV Power Transmission Co. as seven transmission & distribution
subsidiaries, Beijing Electric Power Construction Co., Tianjin Electric
Power Construction Co., Beijing Power Transmission and Transformation
Co. and Beijing Power Equipment Group as four construction &
manufacture subsidiaries and other nine subsidiaries, such as hospitals,
schools and sanatoriums.
I. The Main Responsibilities
1. To implement national laws, regulations and industrial policies,
carry out the development strategy of the State Grid under the national
macro-control and industrial supervision and conduct its own business
following laws and under the guidance of the market demand.
2. To operate and manage all the entity assets of NCGC, implement
the investor¡¯s rights to the share-holding companies and enjoy the
holder¡¯s rights and interests abiding by laws. To undertake the
responsibilities towards the State Grid for preserving and increasing
the assets value.
3. To work out and organize to implement the development strategy,
annual, mid-term and long-term plan and major production decision
of NCGC in accordance with the national economic development planning,
national industrial policy, electric power development planning,
the State Grid strategy and market demand. To take the responsibility
of the development planning of North China Power Grid and submit
the proposal for power industrial development in North China.
4. To be responsible for the operation and management of North China
Power Grid. To participate in the investment, construction and operation
of transmission & transformation projects as well as the power
sources projects for peak and frequency regulation.
5. To implement the dispatching management of North China Power
Grid. To organize, instruct and coordinate the safe, stable and
economic operation of power grid under the principle of unified
dispatching and hierarchical management.
6. To cultivate the North China power market, manage the North China
Power Dispatching & Transaction Center and participate in the
electricity trade with other power grids.
7. To optimize the production element allocation, organize the investment
activities and take the responsibility of investment and return.
To speed-up the technical renovation and scientific progress, enhance
the market competitiveness and promote the sustainable, rapid and
healthy development of NCGC.
8. To deepen the enterprise reform, accelerate the structural adjustment,
transform the operation mechanism, reinforce the internal management
and properly cope with the issues such as enterprise restructure,
administrative reduction, redundant personnel reassignment and re-employment.
9. To instruct and strengthen the ideological & political work,
spiritual civilization and enterprise culture process of NCGC and
form the unified brand-name of the State Grid.
10. To undertake other works entrusted by the State Grid and relevant
governmental organizations.
II. Business Scope:
1. To manage the assets owned by NCGC according to the laws.
2. To deal with the business of power transmission & distribution,
power purchase & sales.
3. To be engaged in power generation approved by the State.
4. To manage North China Power Dispatching & Transaction Center,
operate regional power market and participate in energy transaction
between North China Power Grid and other regional power grids.
5. To manage power dispatching of North China Power Grid.
6. To participate in investment, construction and operation of transmission
& transformation projects and power plants for peak and frequency
regulation.
7. To do investment and financing and relevant financial business
according to the rules formulated by the State and State Grid Corp.
of China.
8. To be engaged in import & export, international cooperation,
project contracting and labor service cooperation under the leadership
of State Grid Corp. of China and the approval of the State.
9. To be engaged in telecommunication, information, environmental
protection and other business related to electric power scientific
research, technological development and consulting services on electric
power.
10. To manage other businesses approved or permitted by the State.
